Role Summary: We are seeking an experienced attorney with knowledge of corporate secretarial and company law to support legal entities and branches in Ireland with the possibility of supporting other European jurisdictions. GE operates hedging and cash pool companies and the role will be part of a consolidated Global Operations team, Legal Shared Services, working closely with key stakeholders. The role will support and own legal processes like legal entity governance driving efficiencies and quality.
Manage day to day corporate secretarial operational needs of all GE businesses in Ireland for both Irish companies, branches and the various partnerships, with the possibility of expanding scope of assistance to other European jurisdictions
Act as Company Secretary for all Irish legal entities and maintain company documentation
Coordinate and draft corporate governance documentation, arrange for registration of corporate changes in relevant internal and external registers and repositories
Coordinate with external counsel and conduct board and shareholder meetings, minute taking and arranging for filling with the relevant internal and external registers and repositories
Support legal entity Directors and Boards on their roles and responsibilities and provide training. Monitor corporate governance developments and assist in tailoring governance practices to meet the needs of each legal entity in scope, while maintaining consistency in so far as is possible
Ensure all legal entities in scope are compliant with applicable laws and internal governance standards, maintain a list of legal requirements
Ensure Registered Office displays as required under company law are kept up-to-date
Coordinate Compliance Policy Statement Reviews on a bi-annual basis
Provide legal support on ISDA matters • Coordinate Irish Lobbying Act Disclosure and Anti-Money Laundering requirements
Periodic review of Beneficial Ownership Registers • Proactively interact with Legal, Finance and Tax teams to ensure timely creation, maintenance, and dissolution of legal entities
Coordinate with finance teams on ARD dates to ensure audit timetables are in sync with filing deadlines
Coordinate with finance teams on incorporations and dissolutions to ensure the ledgers are set-up / cleared timely
Work closely with the Legal Shared Services team in particular in EMEA region to help implement different Legal Shared Services projects in the relevant region
Maintain legal entity data for the entities in scope in Goldnet, (Global Entity Maintenance system) and carry out period reviews with Company Registers maintained on the Relate System
Law degree, proven working experience as legal counsel or Corporate Secretary or equivalent knowledge & experience.
Must be fluent in English and additional language(s) are an advantage.
Experience in legal entity governance
Demonstrated ability collaborating with cross-functional teams within matrix structure
Good oral and written communications skills
Good planning and analytical skills, able to manage competing priorities
Good interpersonal skills
High degree of comfort with technology, experience in using Microsoft Suite (Excel, PowerPoint and Word)
