Role Summary:
This position is for contracts legal professional to be responsible for the primarily military and some civil contract management life cycle from bid review through contract negotiation and execution. Responsible for reviewing complex legal, business, compliance, data privacy and intellectual property provisions of customer agreements for purposes of supporting Digital services in a Cloud/Managed Service environment.

Essential Responsibilities:
A seasoned military contracts or legal professional with an understanding of contractual standards, intellectual property licensing, complex data usage, custodian, privacy laws and regulations (inclusive of FAR/DFARS), and data governance for business agreements, and particularly hosted-service offerings. Your understanding of technology transactions issues extends into areas including service levels, revenue recognition, data governance, information security management methodologies, intellectual property licensing and confidentiality terms. In this role, you may be actively involved in coaching and shaping each deal. You will help to bring the organization’s contractual risks under explicit management control.

In this role you will:
  • Develop negotiation strategy and lead critical customer negotiations for digital services contracts.
  • Negotiate and manage FAR Part 12 procurements with the US Government and higher-tier contractors. The successful candidate will also negotiate procurements with civil customers a lower percent of the time.
  • Negotiate and manage GSA Federal Supply Schedules and Government-wide Acquisition Contracts
  • Perform cradle to grave contracts management actions including but not limited to: Leading pre and post award contract review, perform risk analysis and flow down to ensure all responsible functional organizations (sales, program management, engineering, IT, etc.) understand the legal and business liability associated with new business deals, negotiate pricing and perform contract closeout actions.
  • Work closely with the IT and other project and technical communities to stay abreast of developments in technology contracting affecting the company, its clients, and industries and synthesize the information to incorporate it into company's transactional practices and business strategy. Assist both lawyers and non-lawyers on legal, business, and compliance issues, with specific focus on digital services.
  • Develop internal guidelines, toolkits, and packaged knowledge on issues around technology contracting.
  • Educate and develop other contracts staff in technology contracting issues and contracts life cycle management.
  • Develop relationships with industry peers, research communities, and technology contracting groups
  • Work with IT engineers and project and technical communities to ensure compliance to contract requirements.
  • Participate in security compliance efforts


Qualifications/Requirements:
  • Bachelors or equivalent degree from an accredited university
  • Minimum of 5 years of experience in contracts, legal, compliance focused role.
  • Must be willing to work out of an office located in Washington, DC/Northern Virginia


Desired Characteristics:
  • Minimum of 8 years of experience in contracts, legal, compliance focused role.
  • Experience in technology transactions, including software licensing, consulting, systems integration, and/or outsourcing areas in roles with increasing responsibility
  • Experience with data rights assertions in the FAR Part 12 environment and developing risk mitigation strategies to protect intellectual property in commercial transactions.
  • Minimum of 4 years of experience in a fast-paced corporate legal/transaction group supporting a digital business
  • Solid domain expertise with commercial terms and conditions, and experience with the Federal Acquisition Regulations, with emphasis on Part 12 Acquisition of Commercial Items.
  • Experience with business elements and processes within a SaaS, IaaS, PaaS, or cloud environment Excellent written and verbal communication skills
  • Excellent teamwork skills
  • Ability to work independently, with limited supervision, in a fast-paced business environment.
  • Proficient in MS Office suite
  • Strong sense of ownership and drive
  • Customer and action-oriented; a record of improving customer outcomes, and proactively engaging and understanding the needs of internal and external customers.
  • Experience driving cross-organization initiatives
  • Experience managing communication with geographically distributed teams
  • Contribute to and lead discussions and communications within the team and outside, including customers and other business units
  • Proven ability to efficiently deal with issues arising in large, complex technology transactions
  • Some Experience negotiating and managing GSA Federal Supply Schedules and Government-wide Acquisition Contracts
  • Strong understanding and appreciation of intellectual property and data privacy issues as they apply to a hosted service offering
