Role Summary: Responsible for supporting EFS Global Markets on commercial transactions with primary responsibility for Latin America, with a focus on energy project finance transactions, as well as selected transactions involving capital markets advice and structuring. This individual will provide advice, counsel, structuring, negotiation and drafting on sophisticated transactions in the energy field to include asset acquisition and sales, export credit agencies, early stage development deals, etc.
Essential Responsibilities: - Responsible for advising business segments on legal issues related to Commercial Transactions (which may include advice regarding origination, development, due diligence, investment, asset/account management, portfolio administration, workout or restructuring and realization). - EFS Direct Investment and EFS Global Markets may invest throughout the energy spectrum, including thermal and renewable power generation (particularly wind and solar) as well as transmission, oil and gas exploration and production, midstream and distribution assets, and across all capital structures including debt, leases, structured and common equity. - Projects may also involve third party debt and associated security structures which may include export credit agency lenders. - The attorney retained for such a position would assume a major role in structuring, negotiating, documenting on transactions within her/his assigned specialty area(s) and must be comfortable leading the deal from the legal perspective as well as liaising with other internal supporting functions and managing external legal advisors. - Assist managers in both market and product development as well as policy compliance and advocacy. - Evaluates situations using multiple sources of information.
Qualifications/Requirements: - Law Degree (US or UK) - 8+ years experience in relevant area(s) based on experience at a large law firm, financial services firm or large corporate legal department with experience of managing own deal cycles. - Extensive experience working on transactions in the LATAM region. - Energy industry experience with particular experience in project finance debt documentation, project transactional documents as well as joint venture transactions including MOU’s, JDA’s and SHA’s. - Spanish or Portuguese language fluency - Demonstrated excellent verbal and written communication and negotiation skills - Ability to manage multiple transaction and portfolio matter within a high-paced environment, and to prioritize conflicting demands from large and diverse client base - Ability to function independently and effectively as a member of both business teams and the assigned legal organization
Desired Characteristics: - Prior experience in large law firm or in-house legal department - Established ability to influence actions without direct leadership responsibility for teams or processes with a proven ability to build relationships within a matrixed environment (both crossfunctionally and cross-business) - Excellent communication skills – written and oral - Strong interpersonal skills – able to effectively interact with senior management - Proven leadership, deal management and business partnering skills - Experience leading successful negotiations - Proven success and ability to set priorities and drive projects to conclusion. - Demonstrated ability to think and lead on a strategic level within an organization - Experienced within financial services industry – including an ability to understand all facets of financial services, such as leasing secured lending and asset management.
